SYNCHRONOSS ANNOUNCES US$125 MILLION PUBLIC OFFERING OF SENIOR NOTES PRICING

KUALA LUMPUR, June 28 (Bernama) -- Synchronoss Technologies Inc (Synchronoss) recently announced the pricing of an underwritten public offering of US$125 million aggregate principal amount of 8.375 per cent senior notes due 2026, including the exercise in full by the underwriters of the underwriters’ option to purchase an additional US$5 million aggregate principal amount of senior notes. (US$1 = RM4.148)

Synchronoss, a global leader and innovator in cloud, messaging and digital products and platforms, in a statement said the offering was expected to close on or about June 30, subject to satisfaction of customary closing conditions.

Synchronoss and the senior notes both received a rating of BB- from Egan-Jones Ratings Company, an independent, unaffiliated rating agency.

The Company has applied to list the senior notes on the Nasdaq Global Select Market under the symbol ‘SNCRL’ and expects the notes to begin trading within 30 business days of the closing date of the offering, if approved.

All of the senior notes in the offering are being sold by Synchronoss.

Synchronoss anticipates using the net proceeds from the offering, and from the offering of common stock and sale of Series B Preferred Stock, to fully redeem all outstanding shares of Synchronoss’ Series A Convertible Participating Perpetual Preferred Stock and repay amounts outstanding under Synchronoss’ revolving credit facility.

B. Riley Securities Inc (BRS) is acting as the sole book-running manager for the offering. Northland Capital Markets, Aegis Capital Corp. and EF Hutton, division of Benchmark Investments LLC, are acting as lead managers for the offering.

Concurrently with the offering, the Company is offering, by means of a separate prospectus supplement, US$100 million of shares of its common stock.

The senior notes described above are being offered by Synchronoss pursuant to a shelf registration statement on Form S-3 previously filed with the Securities and Exchange Commission (SEC) and declared effective by the SEC on Aug 28, 2020.

GRADUATE MANAGEMENT ADMISSION COUNCIL ANNOUNCES 4 NEW MEMBERS TO BOARD

STEP & REPEAT, FIRST-EVER GLOBAL TIKTOK REALITY SHOW BASED ON STYLE LAUNCHED




KUALA LUMPUR, June 18 (Bernama) -- Glamhive and Mary Kay Global Design Studio have announced Step & Repeat, the first-ever style show launching on TikTok.

Step & Repeat is a five-week style competition and mentorship programme where wardrobe stylists, make-up artists, and hair stylists worldwide compete in the fast-paced environment of TikTok to drive their business success.

The international competition is open to all and goes live on June 22 on TikTok, according to a statement.

Each week, Step & Repeat's host, Johnny Wujek will announce a theme-based challenge, and TikTok users will create their best wardrobe, make-up, or hair style look for that theme.

Videos will incorporate the show's custom sound, ‘Step & Repeat’, the hashtag #stepandrepeat, and the hashtag associated with each challenge, enabling all entries to be discoverable by the show's judges.

At the end of each challenge, Wujek will announce the winner in each category: wardrobe, make-up, and hair. Each winner will receive a cash prize and a one-hour mentoring session with one of the 19 industry leaders stepping up to provide mentorship.

At the end of the five weeks, Step & Repeat will announce one overall winner for each category, crowning it the very best in wardrobe, make-up, and hair based on entries from worldwide.

D'ADDARIO & CO CO-FOUNDER, JANET D'ADDARIO, 72, DIES

KUALA LUMPUR, June 18 (Bernama) -- Janet D’Addario, a prodigious creative and philanthropic force worldwide, and wife of D’Addario Chairman, Jim D’Addario, died June 14 at her home, surrounded by family.

According to a statement, the 72-year-old succumbed to complications from gall bladder cancer, said Jim.

Janet Marie D’Addario was born on Dec 10, 1948 in Nassau County. Her education circumnavigated Long Island: St Brigid in Westbury; St Dominic’s High School in Oyster Bay, and Nassau Community College in Garden City.

When D’Addario & Co was founded in 1973, Janet used her creative talents to design the company’s advertising as well as the packaging design for all of their products.

As a fledgling organisation, Janet’s vision and compassion had a tremendous influence on the development of the culture that guides the organisation today.

She would go on to wear many hats, including head of Artist Relations and co-founder of the D’Addario Foundation, which continues to provide music education to young children in underserved communities.

Janet served as the Managing Director of the Foundation for 20 years, helping to raise awareness for the cause by producing classical music concerts in cities worldwide.

The one charity that held a particularly special place in her heart was Providence House, a New York institution that provides transitional housing for homeless women and children.

Janet is survived by her loving husband of over 50 years, Jim, and their three children: Julie (Pat); Amy (Marcus) and Robert (Gina).

In lieu of any gifts or flowers, the family asks anyone wishing to pay their respects to consider a modest donation to Providence House.

AJC WEBINAR ON HOW JAPANESE FEMALE MILLENNIALS VIEW CLMV AS TRAVEL DESTINATIONS

KUALA LUMPUR, June 16 (Bernama) -- ASEAN-Japan Centre (AJC) will organise the webinar ‘CLMV (Cambodia / Lao PDR / Myanmar / Viet Nam) Travel Sentiment Survey – strategic post-pandemic approaches to attract Japanese female millennials’ on June 21 and 22.

It will be based on the results of the CLMV travel sentiment survey conducted in January by AJC, according to a statement.

The MILLA fully autonomous POD will take center stage at the Smart & Sustainable Mobility event organized on-site at the French Grand Prix Formula 1 race, one of the world’s most popular sporting events. The MILLA POD will demonstrate its world-class technology and innovative approach to enhanced safety. The POD will operate fully autonomously without an onboard safety driver. Utilizing various sensors, including the Leddar Pixell, the POD creates a virtual safety and security bubble. Unlike many other autonomous shuttles, the MILLA POD will be supervised remotely by a monitoring engineer who can intervene and take control of the vehicle if needed. This innovative safety redundancy system is being further developed and will soon be available to enable one person to monitor up to 10 PODs at any one time. MILLA engineers have pioneered a significant step towards even greater safety technology that accelerates consumer confidence in the adoption of fully autonomous vehicles.
